How can I sell some or all of my shares in the Dividend Reinvestment and Stock Purchase Plan (DRIP)?
You can sell all or part of your shares of common stock held in your DRIP account, whether or not you are terminating your participation in the DRIP. You can sell your shares of common stock either through the DRIP administrator or through your broker.
To request that the DRIP administrator arrange the sale of DRIP shares, the bottom section of a DRIP statement should be completed, signed by all registered owners and mailed to Wachovia Shareholder Services, American Stock Transfer & Trust Company, P.O. Box 2328, New York, NY 10272-2328.
Unfortunately, we are not able to accept e-mail or telephone requests to sell DRIP shares. The DRIP administrator will attempt in good faith to arrange for the sale within 10 days after receiving your request. You will be charged a commission that will be deducted, along with any applicable taxes or other fees incurred by the DRIP administrator, from the cash proceeds paid to you.
Alternatively, if you elect to sell DRIP shares through a broker of your choice, you must first request that our transfer agent, American Stock Transfer & Trust Company, send you a certificate representing the number of full shares of common stock you want to sell or, you may request that your shares be moved into electronic DRS book-entry form so that your broker may transfer and sell your shares.
Sale of all shares of common stock held in your DRIP account will not automatically terminate participation in the plan.
Further information regarding selling DRIP shares can be found on page 10 of the Prospectus.
How can I terminate my participation in the DRIP?
You can terminate participation in the DRIP at any time by notifying the DRIP administrator in writing. If the DRIP administrator receives your notice to discontinue reinvestment prior to the record date for a dividend payment, the next dividend will be paid to you in cash. If the DRIP administrator receives your notice to discontinue reinvestment on or after the record date for a dividend payment, the cash dividend paid on that date will be reinvested in common stock for your account and then your account will be terminated.
Further information regarding termination of plan participation can be found on page 11 of the Prospectus.
What can I do if my dividend check is lost?
If a dividend check is lost or stolen, you may request a replacement check by contacting Wachovia Shareholder Services at (800) 347-1246, or by writing to Wachovia Shareholder Services, c/o American Stock Transfer & Trust Company, P.O. Box 2328, New York, NY 10272-2328. Wachovia Shareholder Services will place a stop payment on the original check and issue a replacement. Please allow 10 days from the dividend payment date before requesting a replacement check.
You can avoid the inconvenience of a lost dividend check by enrolling in our direct deposit plan. This free program eliminates the possibility of a dividend check being lost or delayed in the mail and often provides faster access to dividend proceeds because dividends are deposited directly into your account on the payment date. How can I replace a lost certificate?
If your Wachovia stock certificate is lost, stolen or destroyed, please notify Wachovia Shareholder Services as soon as possible at (800) 347-1246. They will place a stop transfer on the lost certificate, which will prevent anyone else from transferring it, and they will send you an affidavit of loss to complete.
You will be required to pay an administrative fee of $50 plus the cost of an indemnity bond—currently two percent of the fair market value of the resulting shares to be issued, with a minimum bond fee of $25—at the time of replacement. For example, if you lost a certificate for 30 shares of Wachovia common stock, and the stock's current price was $50 per share, the certificate would be worth $1,500. To calculate the cost of the bond, the certificate's value of $1,500 would be multiplied by two percent to get a total bond premium cost of $30. You will receive your replacement shares after you return the affidavit and payment of the administrative fee and indemnity bond fee to Wachovia Shareholder Services.
How do I stop duplicate mailings?
Although our transfer agent attempts to avoid duplication, occasionally, multiple accounts may be inadvertently created for an individual shareholder due to variations in name, initials or addresses. This results in duplicate mailings, which are costly to Wachovia and inconvenient for you. To eliminate duplicate mailings, please contact Wachovia Shareholder Services at (800) 347-1246 and be prepared to provide your name and either the social security number on the account or the account number.
